Article 2.6.12 Foreign Entities and Recognition

(a) Legal Establishment Requirement:

A foreign entity shall not conduct business, hold assets, or engage in regulated activities within the ICT unless it is lawfully registered as a foreign entity or establishes a local subsidiary under this ICT Code.

(b) Registration Criteria:

To obtain registration under paragraph (a), a foreign entity shall:

(i) Submit foundational documents, any other relevant instruments, and proof of formation in its home jurisdiction;

(ii) Appoint and disclose a designated compliance officer resident in the ICT;

(iii) Maintain a registered office address within the ICT;

(iv) Pay all applicable registration fees and levies; and

(v) Comply with disclosure, filing, and digital governance standards applicable to ICT entities under this ICT Code.

(c) Legal Effect:

Registration under this Article shall not confer legal personality in the ICT unless the entity is separately incorporated under this ICT Code.
