Article 1.5 Construction
The following rules of construction shall apply throughout this ICT Code:
- Headings, titles, and subheadings are provided for reference only and shall not affect the construction or interpretation of any provision.
- When otherwise not clear by context: words importing the singular include the plural and vice versa; words importing one gender include all genders; and references to persons include natural and legal persons.
- References to Parts, Chapters, Articles and Schedules are to provisions of this ICT Code unless otherwise expressly stated.
Terms that are not expressly defined in this Code shall be interpreted in accordance with:
(i) Their plain and ordinary meaning, as understood in general legal usage; and
(ii) Customary interpretations that promote legal certainty and consistency with the objectives of this ICT Code.
(e) Where there is a conflict between provisions of this ICT Code and provisions of a Residency Agreement or Investor Agreement, the provisions of the Residency Agreement or Investor Agreement shall prevail to the extent of inconsistency, unless the context expressly requires otherwise.
(f) The Code is to be interpreted in a manner consistent with:
- The objectives in Article 1.3;
- Legal certainty, clarity, and predictability;
- Individual autonomy and economic freedom for ICT residents;
- Fair and effective dispute resolution;
- Internal coherence across its Parts;
- Compatibility with international best practice in rule-of-law jurisdictions; and
- Resolution of ambiguity and legal gaps through jurisprudence developed by ICT Courts and ICT-related ADR tribunals in accordance with the principles and provisions of this ICT Code, consistent with the common law tradition.
