Article 2.6.14 Supplementary Guidelines

(a) Supplementary Instruments:

The Operator may issue supplementary instruments to facilitate the formation, registration, governance, operation, audit, and dissolution of legal entities. Such instruments may include:

(i) Supplementary regulations or rules;

(ii) Interpretive guidance or sector-specific clarifications;

(iii) Model rules, DAO governance templates, or template declarations;

(iv) Smart legal contracts or digitally-executable charters.

(b) Model Charters and Templates:

The Operator may publish optional model constitutions, charters, or templates for various entity types, including but not limited to member-managed entities, foundation-style bodies, DAOs, and special purpose vehicles. Use of such models shall not be mandatory but shall:

(i) Provide a rebuttable presumption of compliance with minimum standards under this ICT Code;

(ii) Be designed to ensure simplicity, flexibility, and legal sufficiency tailored to the ICT context;

(iii) Be interoperable with digital governance tools provided through the ICT digital infrastructure.

(c) Status and Effect:

(i) Supplementary instruments issued under this Article shall be advisory or facilitative in nature unless expressly designated as binding by the Operator under a power conferred elsewhere in this ICT Code.

(ii) Such instruments shall not override, contradict, or modify any provision of this ICT Code. In the event of any inconsistency, the provisions of this ICT Code shall prevail.

(iii) Where incorporated by reference into formal procedures (such as registration, filings, or enforcement), the supplementary instrument shall be clearly referenced, publicly available, and reasonably accessible at the time of application.

(d) Publication and Accessibility:

All supplementary guidelines and instruments shall be published in English, made digitally accessible via the ICT City App, Companies Register or official governance portal, and include version control and clear effective dates. Significant updates shall be subject to stakeholder consultation and communicated to all affected entities.
